Roles and Responsibilities:
- General corporate advisory works and drafting/ vetting of the commercial agreements such as vendor contacts, employment agreements, lease deeds, warrant agreement, assignment agreements.
- Advising on legal and compliance issues relating to requirements under corporate and commercial laws, labour laws, statutory approvals and filings etc.
- Issuing legal opinions and memorandums on various issues relating to commercial and corporate laws across various sectors.
- Work as a team in mergers and acquisitions and private equity transactions.
- Work as a team on legal due diligences and handle various sections of a due diligence exercise.
- Drafting and vetting of transaction documents such as share purchase/ share subscription/ shareholders agreements, joint ventures agreements, escrow agreements, term sheets.
- Good knowledge of legal issues and keeps abreast of developments in law.
Required Skills & Qualifications:
- Graduate/Postgraduate in Economics / Engineering / Mathematics / Statistics / MBA
- Experience: Prior experience/insight into GST and Customs, as also the erstwhile Indirect taxation viz. Sales Tax/ Service Tax/Central Excise is desirable.
- People with the ability to work in a collaborative manner to provide services across multiple client departments while following the commercial and legal requirements. You will need a practical approach to solving issues and complex problems with the ability to deliver insightful and practical solutions. We look for people who are agile, curious, mindful and able to sustain postivie energy, while being adaptable and creative in their approach.
